Perplexity AI Updates TikTok Merger Plan, Proposes 50% U.S. Government Stake

Perplexity AI has updated its merger proposal with TikTok’s parent company, ByteDance, suggesting the creation of a new U.S.-based holding company called “NewCo.”  This revised plan includes a unique provision that would allow the U.S. government to hold up to a 50% stake in the company after its initial public offering (IPO).  Under the proposal, ByteDance would contribute TikTok U.S., excluding its recommendation algorithm, while Perplexity AI would merge its operations into the new entity. Both companies’ existing investors would receive equity in NewCo. The merger’s funding would come from new third-party investors, who would provide the capital for a one-time dividend to ByteDance investors and support the company’s growth.  Despite ByteDance's public stance against selling TikTok U.S., the merger structure could bypass a direct sale, increasing the chances of acceptance. The deal is valued at more than $50 billion, with final terms influenced by existing shareholders’ decisions to remain or exit. Perplexity AI, a rising AI-powered search engine startup valued at $9 billion by the end of 2024, has gained significant attention amid the generative AI boom.  Its growth reflects increasing investor interest in AI-assisted search, which is seen as a potential challenge to Google’s dominance. This proposal aims to integrate TikTok’s video-driven platform with Perplexity’s search innovations, potentially creating a new powerhouse in AI-driven content. The U.S. government’s potential 50% stake aligns with previous efforts to address national security concerns regarding TikTok’s operations.  President Donald Trump, who previously suggested a resolution involving American ownership, has temporarily allowed TikTok to operate in the U.S. while discussions continue.  ByteDance and Perplexity believe this approach could resolve regulatory challenges while retaining investor interests.
