Palo Alto Networks is reportedly negotiating the acquisition of Clutch Security, a startup focused on securing AI agents' access to company systems, for a total value of $500 million. This sum includes $500 million in cash plus additional payments contingent on meeting specific milestones, according to a person familiar with the discussions.
Clutch, a three-year-old company, was last valued at $85 million following a $20 million Series A round led by Lightspeed and SignalFire in January 2025. With the startup currently approaching $10 million in annual recurring revenue (ARR), the proposed acquisition would value Clutch at approximately 50 times its ARR, a standard benchmark for software company valuations.
Neither Palo Alto Networks nor Clutch Security responded to a request for comment. The Information was the first to report the acquisition discussions.
This high valuation reflects a broader market trend where securing software against bad actors utilizing AI to breach systems is becoming a priority. As TechCrunch recently reported, Upwind, a startup using AI to secure cloud infrastructure, recently turned down an acquisition offer from DataDog that valued it at roughly 40 times ARR.
If the deal is completed, it would mark Palo Alto Networks' seventh acquisition of the year. The cybersecurity giant has a history of purchasing innovation rather than developing it in-house, and it has accelerated its dealmaking this year in response to rising AI-driven cyberattacks.
In September, Palo Alto Networks acquired Console, a two-year-old startup that uses AI agents to automate routine IT help desk tasks, for $500 million in stock and cash. Other VC-backed companies acquired by Palo Alto this year include NEA-backed Embrace for $325 million, Chronosphere for $2.95 billion, and Koi for $231 million, according to regulatory filings.
The consolidation trend is evident among competitors as well. Cyera, a cybersecurity startup valued at $12 billion earlier this year, acquired Oasis Security for $1 billion to manage AI agents' access to systems. Meanwhile, Cisco bought Menlo Ventures-backed Astrix for roughly $400 million.
