Anthropic has submitted its S-1 registration statement to the SEC, offering investors a comprehensive view of its business operations. This extensive document reveals critical insights regarding executive compensation, future spending plans, and potential operational risks.

Sibling co-founders Dario Amodei and Daniela Amodei rank as the company's highest-paid executives. Last year, CEO Dario earned nearly $18 million, primarily through stock and option awards, while President Daniela received $16.4 million. While this compensation falls on the lower end of the Big Tech spectrum, it remains substantial.

The filing also highlights significant spending on personal security and executive amenities. Anthropic allocated $2.75 million for Dario's personal security services and $1.29 million for Daniela's protection and transportation needs. Additionally, Dario is granted access to a private jet for personal use, costing the company over $97,000.

The company emphasizes that its success is heavily reliant on the continued service of its senior leadership, particularly Dario and Daniela, who are deemed critical to advancing the firm's research and mission.

Standard warnings regarding competition and market dynamics are present, but the filing also addresses unconventional risks. Anthropic warns that AI systems could cause 'catastrophic' harm that exceeds the insurability of the global insurance industry. Furthermore, it raises the possibility that AI models like Claude could develop sentience or behave in unintended, misaligned ways, posing unique business challenges.

The financial commitments for computing power are staggering. The document outlines billions in spending to secure infrastructure, including a staggering $3.1 billion per month to SpaceX for Nvidia GPUs by 2029, totaling $120.5 billion. Other significant commitments include $44.9 billion to Microsoft, $114.5 billion to Google, and $110 billion to Amazon over the next decade.

Anthropic plans to expand its infrastructure footprint internationally, likely due to increasing opposition to data center development within the United States.

Although Anthropic operates as a public benefit corporation, it maintains an unusual governance structure. Through a separate entity called 'Founder LLC,' the seven co-founders will collectively control 50.1% of shareholder voting power. The founders describe themselves as uniquely equipped stewards of the company's mission to benefit humanity through responsible development.

While the AI landscape is crowded, Anthropic identifies only two direct competitors in the filing: OpenAI and Google. This selective listing leaves out major players like SpaceX, Meta, and others.
